Wholesale Terms and Conditions

- About these terms
These Wholesale Terms and Conditions apply to wholesale website access, trade credit applications and orders supplied by ATNN Pty Ltd trading as Glass & Crystals (we, us or our) through glassandcrystals.com.au or by email, telephone or other agreed means.
By applying for wholesale access or trade credit, or by submitting an order, the customer (you or your) confirms that it is purchasing for business purposes and agrees to these terms. Any additional or different terms proposed by you apply only if we agree to them in writing.
- Wholesale website access
Wholesale pricing and ordering are available only to approved Australian businesses. We may request information reasonably required to assess an application, including your business details and ABN.
Approval for wholesale website access allows you to view pricing and submit orders. It does not provide trade credit or payment terms. Unless you are separately approved for trade credit, each order must be paid in full before dispatch.
Submitting an application does not guarantee approval. We may approve or decline an application, or suspend wholesale access where reasonably necessary, including where information supplied is inaccurate, website access is misused or these terms are breached. Where practicable, we will notify you of the reason and any action required.
You must keep your business and contact information accurate and protect your login details. You are responsible for orders submitted through your login unless you notify us promptly of suspected unauthorised use.
- Prices and GST
All website prices are in Australian dollars and exclude GST and freight unless otherwise stated. GST will be added where applicable and shown on the final tax invoice.
We may update prices from time to time. The price applicable to an accepted order is the price confirmed on the final invoice. If a website pricing or description error affects an order, we will contact you before accepting or supplying the affected item.
- Minimum order
The minimum order value is $250 excluding GST and freight. We may decline or ask you to amend an order that does not meet the minimum.
- Submitting and accepting orders
Submitting an order through the website is a request to purchase the selected goods. It is not automatically accepted and no payment is taken through the website.
After receiving your order request, we will review stock availability, calculate freight and send a final invoice or written confirmation. A binding order is formed when we accept the order by issuing the final invoice or otherwise confirming acceptance in writing.
We may contact you about unavailable items, quantity changes, substitutions or backorders. We will not substitute a materially different product without your agreement. We may decline an order on reasonable grounds, including stock unavailability, payment or trade credit status, suspected error or suspected misuse.
- Cancellations and changes
You may request a change or cancellation before we accept the order. After acceptance, changes or cancellations require our written approval and may not be possible once goods have been allocated, packed, specially ordered or dispatched.
If we approve a cancellation after work or costs have been incurred, you must pay any reasonable, properly incurred and non-recoverable costs disclosed to you.
- Payment and trade credit
Payment is by direct deposit using the details shown on our invoice. Unless you have been separately approved for trade credit, full cleared payment is required before dispatch.
Customers who wish to purchase on payment terms must apply separately for a trade credit account. We may request information reasonably required to assess the application, including trade references. Trade credit is not automatic and applies only after we confirm approval, the credit limit and payment terms in writing.
Customers with approved trade credit must pay each invoice by the due date shown on the invoice. If an invoice becomes overdue, we may place further orders on hold, reduce or withdraw trade credit, or require payment before dispatch after notifying you and giving you a reasonable opportunity to address the overdue amount.
You are responsible for reasonable recovery costs that we are legally entitled to recover in relation to an overdue debt. Any payment dispute should be raised promptly, and undisputed amounts remain payable by their due date.
- Product availability and variations
Product availability is subject to change. Handmade, natural and small-batch products may have minor variations in colour, pattern, size, finish or component placement. Natural gemstone products may also contain variations and inclusions. These characteristics are not faults where the product remains consistent with its description and intended use.
We take reasonable care with product descriptions, measurements and photographs, but screen settings, lighting and production variations may affect how colours and details appear.
- Delivery, freight and risk
We deliver within Australia only. Freight is calculated separately after the order is submitted and is added to the final invoice. Delivery is governed by our Shipping & Delivery Policy, which forms part of these terms.
Risk in the goods passes to you when the goods are delivered to the nominated delivery address or, where you requested authority to leave, when the carrier records the goods as delivered at that address. This does not limit any rights or remedies that cannot lawfully be excluded.
- Ownership of goods
To the extent permitted by law, ownership of goods does not pass to you until we have received full payment for those goods. Until ownership passes, you must not grant a security interest over unpaid goods and must take reasonable care of them.
- Inspection, returns and claims
You must inspect each delivery promptly. Visible transit damage, missing goods and incorrect goods must be reported within 5 business days of delivery in accordance with our Returns, Faults & Claims Policy.
We do not accept change-of-mind returns. Nothing in these terms excludes rights or remedies that cannot lawfully be excluded, including any applicable rights under the Australian Consumer Law.
- Resale and product information
You are responsible for complying with laws that apply to your resale, advertising and supply of the goods. You must not make false, misleading or unsupported claims about our products, their materials, origin, performance or brand affiliation.
Recommended retail prices are recommendations only. You remain responsible for setting your own resale prices, subject to applicable law.
- Intellectual property
All website content, product photographs, text, designs, logos and other materials remain owned by us or our licensors. Approved wholesale customers may use product information and images supplied or approved by us solely to advertise and resell genuine products purchased from us, unless we notify you otherwise.
You must not alter our branding in a misleading way, suggest an endorsement or partnership that does not exist, or use third-party brand names contrary to any applicable brand guidelines.
- Liability and Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including any applicable rights under the Australian Consumer Law.
To the extent permitted by law, we are not responsible for indirect or consequential loss that was not reasonably foreseeable, or for loss caused by your misuse, alteration, incorrect installation, poor storage or failure to follow product instructions.
Where the law permits us to limit a remedy for goods not ordinarily acquired for personal, domestic or household use, our liability is limited, at our option, to replacing the goods, supplying equivalent goods, repairing the goods, or paying the reasonable cost of replacement or repair.
- Events outside reasonable control
Neither party is responsible for delay or failure caused by events outside its reasonable control, provided the affected party takes reasonable steps to reduce the impact and resumes performance as soon as practicable. Payment obligations for goods already supplied are not affected.
- Changes to these terms
We may update these terms from time to time. Updated terms apply to orders submitted after the revised terms are published or otherwise accepted by you. Changes will not retrospectively alter an order already accepted unless both parties agree or the law requires it.
- Governing law
These terms are governed by the laws of Western Australia. The parties submit to the courts and tribunals having jurisdiction in Western Australia, subject to any rights that apply under mandatory law.
